Partner Terms & Conditions

Introduction

These Partner Terms & Conditions ("Partner Terms") govern your participation as a service partner ("Partner") on the AboodSpace platform ("Platform"), operated by AboodSpace ("we", "our", or "us"). By completing the partner onboarding process and checking the agreement box, you acknowledge that you have read, understood, and agree to be bound by these Partner Terms in addition to our general Terms of Service and Privacy Policy.

Partner Eligibility

To register and remain active as an AboodSpace Partner, you must:

• •Be at least 18 years of age and legally capable of entering into a binding contract
• •Be a registered business entity or a sole proprietor operating lawfully in India
• •Hold a valid GST registration number relevant to your business activities
• •Provide accurate, current, and complete information during onboarding and keep it updated
• •Possess the skills, licenses, and qualifications required to perform the services you offer

Partner Obligations

As an AboodSpace Partner, you agree to:

• •Respond to customer leads within 24 hours of receipt
• •Provide services with a high standard of professionalism, quality, and care
• •Honor all quotations, timelines, and commitments made to customers through the Platform
• •Maintain valid business documentation, including your PAN Card, Cancelled Cheque, and GST certificate
• •Not solicit customers obtained through AboodSpace for business outside the Platform during the active partner period
• •Keep your profile information accurate, including service areas, specializations, and contact details
• •Comply with all applicable local, state, and central laws and regulations in India

Activation Fee & Payment Terms

A one-time partner activation fee is required to activate your account and begin receiving project leads. This fee:

• •Covers the first 3 months of platform access, verified profile listing, and lead allocation
• •Is inclusive of applicable GST at the prevailing rate
• •Is non-refundable once the onboarding process is completed and payment is confirmed
• •Is processed securely via Razorpay; AboodSpace does not store your payment credentials

After the initial 3-month period, continued access to project leads and platform features requires an active subscription plan. A platform service fee is also applicable on successfully confirmed projects sourced through AboodSpace. Full details of subscription plans and service fees are communicated transparently during or after onboarding.

Lead Allocation & Use

AboodSpace allocates customer project leads to Partners based on service area, specialization, availability, and performance metrics. You acknowledge that:

• •AboodSpace does not guarantee a specific number of leads; lead volume depends on customer demand in your service area
• •Leads are provided for your personal use in fulfilling projects; reselling or sharing leads is strictly prohibited
• •Repeatedly ignoring or failing to respond to leads may result in reduced lead allocation or account suspension
• •Customer contact details shared via leads are confidential and must not be misused

Platform Use & Conduct

You agree not to:

• •Provide false or misleading information about your qualifications, experience, or business
• •Engage in any conduct that is fraudulent, deceptive, or harmful to customers or AboodSpace
• •Use the Platform to promote competing services or third-party platforms
• •Attempt to circumvent the Platform's processes, payment systems, or communication channels
• •Harass, threaten, or engage in inappropriate conduct toward customers or AboodSpace staff

Verification & Approval

All partner applications are subject to verification and approval by AboodSpace. We reserve the right to approve or reject any application at our sole discretion. Submitting an application and completing payment does not guarantee final partner activation. If your application is rejected after payment, a full refund will be issued to the original payment method within 7 business days.

Intellectual Property

By uploading content to your partner profile (including photos, logos, portfolio images, and business information), you grant AboodSpace a non-exclusive, royalty-free, worldwide license to display and use such content for the purpose of operating and promoting the Platform. You represent that you own or have the rights to all content you upload and that it does not infringe any third-party rights.

Termination

AboodSpace may suspend or terminate your partner account with or without notice if:

• •You violate any provision of these Partner Terms or our general Terms of Service
• •You receive repeated negative customer feedback or fail to meet service quality standards
• •You provide false information during onboarding or thereafter
• •Legal or regulatory requirements necessitate removal of your profile

You may terminate your partnership by providing written notice to AboodSpace. Termination does not entitle you to a refund of the activation fee or any unused subscription amount.

Limitation of Liability

AboodSpace acts solely as a platform to connect Partners with prospective customers. We are not a party to any service agreement between a Partner and a customer. AboodSpace is not liable for any disputes, losses, damages, or claims arising from services delivered (or not delivered) by a Partner. In no event shall AboodSpace's total liability to a Partner exceed the activation fee paid by that Partner in the preceding 3 months.

Dispute Resolution

Any dispute arising out of or in connection with these Partner Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to binding arbitration under the Arbitration and Conciliation Act, 1996 (India). The seat of arbitration shall be Bangalore, Karnataka, and proceedings shall be conducted in English.

Governing Law

These Partner Terms shall be governed by and construed in accordance with the laws of India. Subject to the arbitration clause above, the courts of Bangalore, Karnataka shall have exclusive jurisdiction over any matter arising from these terms.

Changes to These Terms

AboodSpace reserves the right to modify these Partner Terms at any time. We will notify active Partners of material changes via email or a notice on the Platform at least 14 days before the changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised terms.
